SPECIAL Meeting 

1) Call to Order – 1:28 p.m. 

Directors Present: Roy Becker, Theresa Ludeking, Matt Nolte, Cynthia Phillips, Theresa Thompson, Emily Upah and Brenda Werning. 

A quorum was declared present 

Also Present: Melody Spence, Trent Grundmeyer, Roger Wilcox and Shanlee McNally. 

2) Action Item 157 – Approval of Agenda 

Motion by Phillips, second by Nolte to approve the agenda as presented. 

MOTION CARRIED ALL MEMBERS PRESENT VOTING AYE 

3) Action Item 158 – Closed Session 

Iowa Code Section 21.5(1)(i) to “evaluate the professional competency of an individual whose appointment, hiring, performance, or discharge is being considered when necessary to prevent needless and irreparable injury to that individual’s reputation and that individual requests a closed session.” 

Motion by Thompson, second by Upah to go into closed session. 

Roll call vote to go into closed session – Directors: Roy Becker Yes, Theresa Ludeking Yes, Matt Nolte Yes, Cynthia Phillips Yes, Theresa Thompson Yes, Emily Upah Yes, Brenda Werning Yes. 

MOTION CARRIED ALL MEMBERS PRESENT VOTING AYE 

Board went into closed session at 1:33 p.m. 

Action Item 159: 

Motion by Thompson, second by Nolte to come out of closed session at 6:17 p.m.

Motion by Phillips, second by Upah to offer a contract to the preferred candidate as discussed in closed session.
